These General Terms and Conditions of Sale are up to date as of December 11, 2023.

1. Definitions

1.1. These General Terms and Conditions of Sale (hereinafter referred to as "GTC") are provided by the company PHYSIOACADEMIE SAS (hereinafter referred to as "The Company"), a simplified joint-stock company with a capital of 10,000 euros, registered with the Trade and Companies Register of Béziers under number 840 126 494, with its registered office at 81 Impasse Nicolas Joseph Cugnot, 34500 Béziers, France.

1.2. Right to Modify Terms
Physioacademie reserves the right to modify the terms of this Agreement at any time at its sole discretion, and may post a notice of such changes. If and when the Agreement is modified, You will be subject to the terms of the modified Agreement, and by accessing the Physioacademy Website, You agree to the terms of modified Agreement, without further notice.

1.5. The WebSite offers the Client (hereinafter "the Client") the possibility to purchase online training videos (e-learning) in the fields of Physiotherapy, Osteopathy, and Physical Preparation (the "Content") for practitioners wishing to specialize in the context of their professional activities or for students seeking additional knowledge in the context of their professional training.

1.6. The Client is responsible for obtaining and maintaining all computer/tablet or mobile hardware and software needed to access and use the Physioacademy.com Website. He must also make sure the browser he is using is fully secure.
The Client must also ensure that the devices (computer / mobile / tablet) don’t contain any viruses.

2. Application and Enforceability of the GTC

2.1. The purpose of these GTC is to define all the conditions under which the Company sells the Content on the WebSite to Clients. They, therefore, apply to any Content Order ("Order") placed on the WebSite by the Client.

2.2. The Client declares to have read and accepted these GTC before placing their Order.

2.3. The Order confirmation constitutes acceptance of these GTC. They are regularly updated, and the applicable GTC are those in force on the WebSite at the time of placing the Order.

2.4. The fact that the Company does not invoke any provision of these GTC at a given time cannot be interpreted as a waiver of the right to invoke any provision of these GTC at a later date.

3. Creation of a Personal Account

3.1. In order to access the Content on the WebSite and place an Order, the Client must register on the WebSite by creating a personal account.
To do this, the Client will provide the following mandatory information: username, password, first name, last name, address, postal code, email, and phone number.

3.2. The Client undertakes to provide valid, sincere, complete, and up-to-date information on the website.

3.3. The Client also undertakes not to infringe upon the rights of third parties, especially their personal data and image.

3.4. If the Client is under the age of eighteen, they undertake to obtain the express consent of their parents or legal representative to communicate their personal data, create a personal account, and use the WebSite.

3.5. Usernames and passwords are strictly personal. The WebSite must promptly inform the Client of any loss of this information, and the WebSite will provide a link to change the password.
The WebSite disclaims any responsibility in case of loss or misuse of this information.

4. Ordering a Digital Content on the PhysioAcademy.com WebSite

4.1. The content offered on the Site is described and presented with the greatest possible accuracy.

4.2. The Company reserves the right to correct the content of the WebSite at any time.

4.3. The Client selects the content they wish to purchase and can see the summary of their Order at any time.

4.4. The Order summary lists the Content that the Client has selected and includes any additional fees added to the price of the Content(s) in the Order. The Client has the option to modify their Order and correct any errors before accepting the Order.

4.5. After accessing the Order summary, the Client accepts the GTC by checking the box before processing the payment. By accepting the GTC, the client is accepting the non-right of withdrawal, with no option to be refunded.

4.6. After accepting the GTC, accepting the non-right of withdrawal, and validating the Order with an obligation to pay, the contract is validly concluded between the Company and the Client, and they are irrevocably bound.

4.8. After validating their Order and to proceed with payment, the Client enters the details to which they want the Order invoice to be sent. The process of receiving the Service(s) and billing is described in Article 6 of these GTC.

4.9. The Company will then send an email confirmation, including the details of the Order and the billing address provided.

4.10. After validating their billing details, the Client proceeds with the payment of their Order according to the terms specified below.

5. Price and Payment Terms of the Order

5.1. Prices are mentioned on the WebSite in the description of the Content, in the currency you have selected (Canadian Dollar CA$ or US Dollar US$), excluding taxes. No taxes are applicable.

5.2. The total amount is indicated in the Order summary before the Client accepts these GTC, processes their Order, provides and validates their billing details, and proceeds to payment. This total amount is indicated inc. all taxes.

5.3. The payment for Content on the WebSite is to be made in Currency you have selected (CA$ or US$). The full payment must be made on the day of the Order by the Client via unless expressly agreed upon special sales conditions by the Client and the Company.

5.4. For the payment of the Order for the Content, the WebSite uses the Stripe secure payment system, a specialized provider in online payment security. This system ensures the total confidentiality of the Client's banking information. The transaction between the Client and the secure system is fully encrypted and protected. The Client's payment details are not stored electronically by the Company.

5.5. The Client undertakes the responsibility of having the necessary authorizations to use the chosen payment method when placing the Order.

5.6. The Company reserves the right to suspend or cancel the execution of any Order, regardless of its nature and level of execution, in case of non-payment or partial payment of any amount due by the Client to the Company, in case of payment incidents, or in case of fraud or attempted fraud related to the use of the WebSite and the payment of an Order.

6. Use of Services

6.1. The Content is automatically delivered to the Client upon validation of their Order.

6.2. The Content is available on the WebSite in the "User account" of the Client.

6.3. The Content can be viewed by the Client with no time and number of views limitation.

6.4. The Company offers one type of Content:
Complete e-learning course (also referred to as Training) with a duration ranging from 30 minutes to 7 hours;

7. Customer Service

7.1. For any inquiries, clarifications, or complaints, the Client must contact the Company's customer service (the "Customer Service") as a priority, to allow the latter to attempt to find a solution to the problem.

8. Client's Obligations

8.1. The Client undertakes to comply with the terms of these GTC.

8.2. The Client agrees to use the WebSite and the Content in accordance with the instructions of the Company.

8.3. The Client agrees to use the WebSite only for personal use, in accordance with these GTC. In this regard, the Client agrees to refrain from:
Using the WebSite in any illegal manner, for any illegal purpose, or in any way inconsistent with these GTC.
Selling, copying, reproducing, renting, lending, distributing, transferring, or sublicensing any part of the content on the Site, or decompiling, disassembling, modifying, displaying in a form readable by the Client, attempting to discover any source code, or using any software that activates or includes any part of the WebSite.
Attempting to gain unauthorized access to the WebSite's computer system or engaging in any activity that disrupts, diminishes the quality, interferes with the performance, or impairs the functionality of the Site.
Using the WebSite for abusive purposes by intentionally introducing viruses or any other malicious programs and attempting to access the WebSite by any unauthorized way.
Infringing on the intellectual property rights of the Company.
Disparaging the Site.

8.4. If, for any reason, the Company believes that the Client is not complying with these GTC, the Company may, at any time and at its sole discretion, revoke their access to the WebSite and take any measures, including civil and criminal legal action against them.

9. Right of Withdrawal

9.1. In accordance with Article L.221-28-13° of the French Consumer Code regarding the sale of digital content not supplied on a tangible medium, the right of withdrawal cannot be exercised for contracts for the supply of digital content not supplied on a tangible medium whose performance has begun after the consumer's express prior agreement and express waiver of their right of withdrawal.

10. Liability

10.1. The Company takes all necessary measures to ensure the Client receives the supply of one or more quality Services under optimal conditions. However, its liability cannot be incurred in any case for any non-performance or improper performance of all or part of the Services, which may be attributed either to the Client, to the unforeseeable and insurmountable action of a third party not involved in the contract, or to a force majeure event. In general, if the Company's liability were to be incurred, it could in no case accept compensation for indirect damages, the existence and/or amount of which are not established by evidence.

10.2. Within the limits provided by applicable law, the Company cannot be held liable if the Client or third parties suffer damage due to the misuse of the Service(s) offered by the Company, especially in the case of incorrect diagnosis or mishandling.

10.3. The methods/advice/manipulations offered on the WebSite are acts considered as additional training for practitioners and students in the field, which cannot in any way replace consultation with a doctor. The Client is advised never to interrupt a medical treatment without the advice of a treating physician, and in case of health problems, it is essential to consult their treating physician to obtain a diagnosis and undergo recommended medical examinations. The Company cannot be held responsible for the improper practice of methods/advice/manipulations by a non-practitioner or non-specialized student in physiotherapy or osteopathy.

10.4. The WebSite may contain links to other websites not edited or controlled by the Company, which cannot be held responsible for the operation, content, or any element present or obtained through these websites.

10.5. The establishment of such links or reference to any information, articles, or services provided by a third party cannot and should not be interpreted as an express or tacit endorsement by the Company of these websites and their elements or their content.

10.6. The Company is not responsible for the availability of these websites and cannot control their content or validate the advertising, service(s), and other information disseminated on these websites.

10.7. It is expressly stipulated that the Company cannot be held liable in any way if the computer equipment or electronic mail of the Clients rejects, for example, due to anti-spam measures, emails sent by the Company, including, without limitation, the copy of the payment receipt, the summary of the Order, or the shipping confirmation email.

10.8. The Client is fully aware of the provisions of this article, including the aforementioned guarantees and limitations of liability, essential conditions without which the Company would not have entered into the contract.

15.3. The Customer is informed that:
